(herein referred to as ‘IMS’) which offers discount on course fee for Test preparation material and counselling for overseas universities, compiled and designed by IMS. |

The promotion is open to HSBC Premier Debit Cardholders / HSBC Premier Platinum Cardholders and HSBC Premier Credit Cardholders (hereinafter referred to as "Premier Customers") residing in India. Premier Customers are required to present their HSBC Premier Debit Card / Premier Platinum Debit Card or HSBC Premier MasterCard® Credit Card (Premier Card) at the time of payment to IMS to avail the promotion. |

Under the promotion, IMS is providing exclusive discounts to Premier Customer on course fee for Test preparation material and counselling fees for overseas universities, compiled and designed by IMS. Any participation in the promotion is voluntary. |

The discounts table is as follows: |

| a) |
The 10% discounts on course fees for Test preparation materials. This discount is valid from 00:00 hours Indian Standard Time (IST) on 13 May 2011, to 23:59 hours IST on 31 July 2011. |
|
|
| b) |
The 20% discounts on counselling fees for overseas Universities, College Admission and Student Support: (i.e. the study abroad student recruitment division). This discount is valid from 00:00 hours Indian Standard Time (IST) on 13 May 2011, to 23:59 hours IST on 31 July 2011 (The promotion periods mentioned above, hereinafter would be referred to as the 'Promotion Period'). This promotion cannot be used in conjunction with any other promotion that may be in force at the time of payment at IMS. The listed discounts in the emailer are available till the specified validity date only. |

To participate in this promotion, a Premier Customer is required to: |

|
|
| a) |
Visit the nearest IMS Centres in India as specified in the communication enclosed. |
|
|
| b) |
Inform IMS on the discount offer they wish to avail. |
|
|
| c) |
Premier Customers are required to present their Premier Card at the time of availing the discount. |
|
|
|
| 6. |
Only on meeting all the above-mentioned conditions, will the Premier Customer be considered to be eligible for this promotion. |

| 7. |
The Premier Customer will have to announce his / her intent to avail of the promotion before the bill is prepared. The Premier Customer may pay for the promotion through his Premier Card. The listed promotions cannot be exchanged for cash. |

| 8. |
IMS would be responsible for all services booked through them as per the Terms and Conditions between the Premier Customer and IMS. HSBC India will not be involved in any manner whatsoever. |

| 9. |
The discount offers are being offered by IMS. The promotion is not transferable, non-negotiable and cannot be encashed. |
|
|
| 10. |
The listed discount offers are created by IMS. HSBC India is not making any promotion and does not make any warranties or representation about the quality, merchantability, suitability or availability of the products or services included in this promotion or about the service provider. All disputes in this regard should be taken up directly by the Premier Customer with IMS. HSBC India is not liable for any defect or deficiency in the product or service obtained / availed under this promotion and all disputes in this regard should be taken up with IMS.

| 11. |
HSBC India shall not be liable for any loss or damage whatsoever that may be suffered, or for any personal injury that may be suffered as a result of availing the promotion. |

| 12. |
The promotion is subject to force majeure events. |
|
|
| 13. |
Tax liability, if any, will be borne by the Premier Customer. |
|
|
| 14. |
Any dispute arising out of or in connection with this programme shall be subject to the exclusive jurisdiction of the courts in Mumbai only. The existence of a dispute, if any, shall not constitute a claim against HSBC India. |

| 15. |
IMS shall be responsible to honour the promotion and ensure smooth execution. |
|
|
| 16. |

HSBC India reserves its absolute right to withdraw or alter any of the Terms and Conditions of the promotion at any time without prior notice. |

All decisions in respect of the promotion shall be at the sole discretion of HSBC India and shall be final and binding and will be non-contestable. All Premier Customers waive any and all rights of claim with regard to the promotion against HSBC India. |

By participating in the promotion, the Premier Customers shall be deemed to have accepted these Terms and Conditions in totality. |
